NOTICE ANNUAL GENERAL MEETING AND EXTRAORDINARY MEETING

Notice is hereby given to members of the Company that the Annual General Meeting will be held in the Boardroom of The Australian Kidney Foundation, trading as Kidney Health Australia at 344 St Kilda Road, Melbourne 3004 (Ground Floor) on Wednesday, 30 April 2008 at 2.00 pm.

Ordinary business

  • President’s Address on the activities during the year
  • To receive and consider the Director’s Report and the Annual Financial Report and Statements, Directors’ Report and Auditors’ Report for the 12 months ended 31 December 2007
  • To appoint and fix the remuneration of the Auditors for the year ended 31 December 2008
  •  Election of Directors

Special Business

The Constitution of the Company be altered by substituting the Constitution of the Australian Kidney Foundation endorsed, draft dated 19 March 2008, (“the new Constitution”) for the existing Constitution.

Mr. Peter Jon Hartshorne is Managing Partner and Founder of Infinity Labs Pty. Ltd., an international private IT and engineering professional services firm.  In addition, Peter is Executive Chairman of Scholaris International Ltd., an education based software company soon to be listed on the ASX.

Peter holds a Master of Business Administration majoring in IT and an undergraduate Degree in Civil Engineering.  He is a Black Belt in the Six Sigma management principles and holds directorships in five other private companies. Peter has been a long time supporter of Kidney Health Australia and has a special interest in kidney disease.

The Board considers that Peter would bring considerable expertise in business, Information Technology and Call Centre Staffing to the Board and will complement the current skill set of the Board of Directors of Kidney Health Australia.
